Terms of Service
These Terms of Service ("Terms") govern your access to and use of SonIQ, an agent-native project workspace and related services provided by SonIQ ("Company", "we", "us", or "our"), accessible at soniqcloud.com. By using SonIQ, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
SonIQ is a workspace where AI coding agents work on your projects like engineers. The Service includes:
- A command-line tool and daemon that send the files of the projects you connect to the Service, where they are scanned into a structural model (endpoints, schemas, components and their relationships) and living documentation;
- A local MCP (Model Context Protocol) bridge through which your AI agents read and update that documentation;
- Semantic augmentation of the documentation, written by your own AI agents and verified against your code;
- A task board where agents file, claim, and complete work through review;
- A web application for monitoring projects, documentation, tasks, and account management;
- Server-side storage of your project files, the structural graph, knowledge entries, tasks, and user account data.
SonIQ does not provide AI inference. Semantic augmentation and agent activity run through your own AI client (such as Claude Code, Cursor, or Windsurf) under your own subscription or API keys. SonIQ does not include AI inference costs in its subscription pricing and never marks up tokens.
All services are delivered electronically via the command-line tool, the MCP bridge, and our web-based infrastructure. No physical goods are provided. By purchasing a subscription, you acknowledge that the Service is delivered digitally and that you are purchasing access to a software service.
2. Account Registration
To use SonIQ, you must create an account by providing a valid email address and login credentials, or by signing in with a supported identity provider (GitHub, Google). You are responsible for:
- Maintaining the confidentiality of your account credentials;
- Maintaining the confidentiality of your SonIQ API keys — each key is displayed once at creation and cannot be retrieved later; keys can be revoked at any time from the web application;
- All activity that occurs under your account;
- Notifying us immediately of any unauthorized access or security breach.
You must be at least 16 years of age to create an account and use the Service.
3. Plans, Subscription and Billing
3.1 Plans and Pricing
SonIQ offers:
- Free — the structural layer: documentation extracted from your code by the scanner, the task board, and the web application. Free of charge, no payment method required.
- Pro — everything your agents write: semantic augmentation, agent notes, and knowledge updates on task closure. Offered as a monthly subscription at $10/month, billed monthly, once Pro becomes available.
- Team — announced separately; not yet available.
Paid subscriptions are sold by Paddle.com Market Limited, which acts as Merchant of Record for all transactions. Paddle handles checkout, invoicing, tax collection, and payment processing.
3.2 Pro Availability and Trials
Pro is not yet available for purchase, and no free trial of Pro is offered at this time. Until Pro launches, every account is on the Free plan. If we offer a trial, its terms will be published here before it starts.
3.3 Billing Cycle and Automatic Renewal
Your paid billing period begins when you subscribe to Pro. The subscription renews automatically each month at $10/month until canceled. Paddle handles billing, invoicing, tax calculation, and payment processing on our behalf.
3.4 Cancellation
You may cancel your subscription at any time through your billing area or by using the billing links in your Paddle purchase receipt. If you need assistance, you may also contact [email protected]. Cancellation takes effect at the end of the current billing period. You will retain access to Pro until the end of that period, and no further charges will be made after cancellation. After cancellation your account continues on the Free plan — your data is retained and the free features keep working; agent-written features pause.
3.5 Refund Policy
Refunds are handled in accordance with Paddle's applicable refund policy and your consumer rights under applicable law. If you were charged in error, experienced a technical issue that prevented use of the service, or wish to exercise a withdrawal right available under applicable law, you may request a refund by contacting [email protected] or Paddle via the billing links in your purchase receipt. 4. Your AI Client (Bring Your Own Agent)
SonIQ works with the AI coding agents you already use. Your agents connect to SonIQ through the local MCP bridge using your SonIQ API key.
- AI inference requests are made by your own AI client directly to its provider (such as Anthropic or OpenAI) under your own subscription, plan, or API keys. These requests do not pass through our servers.
- Your AI provider API keys and subscriptions live in your client — we never receive or store them.
- You are solely responsible for any costs incurred from your use of third-party AI providers or clients.
- You must comply with the terms of service of your chosen AI provider(s) and client(s).
- We are not responsible for the availability, accuracy, or behavior of third-party AI models or clients.
- We are not liable for any charges incurred on your AI provider accounts.
5. Acceptable Use
You agree not to use SonIQ to:
- Violate any applicable laws or regulations;
- Infringe upon the rights of others;
- Attempt to gain unauthorized access to the Service or its related systems;
- Interfere with or disrupt the integrity or performance of the Service;
- Reverse engineer, decompile, or disassemble any part of the Service;
- Use the Service for any purpose that is harmful, fraudulent, or deceptive;
- Transmit malware, viruses, or any other harmful code through the Service;
- Share your account credentials with others or allow multiple users to access a single account.
6. Intellectual Property
The Service, including its source code, design, branding, and documentation, is the property of SonIQ and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
Your code is yours. We claim no rights over your source code. To provide the Service, the files of the projects you connect are transmitted to and stored on our servers, where they are scanned. You retain ownership of all content you create or store through the Service, including your project files, the structural graph derived from your code, knowledge entries, tasks, and notes. This content is processed solely to provide the Service and is deleted with the project it belongs to, or with your account.
7. Data and Privacy
Your use of SonIQ is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the practices described in the Privacy Policy.
We store your account information, project files, structural graph, knowledge entries, and task data on our servers to provide the Service. You may request deletion of your data at any time by contacting [email protected].
8. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may temporarily suspend access for maintenance, updates, or other operational reasons. We will make reasonable efforts to notify users of planned downtime in advance.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
- SonIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.
- Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
- We are not responsible for any loss or damage resulting from the output of third-party AI models accessed through your own AI client.
- We are not responsible for any data loss that may occur due to system failures, despite the backups kept by our infrastructure providers.
10. Indemnification
You agree to indemnify and hold harmless SonIQ, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if:
- You violate these Terms or our Acceptable Use policy;
- Your account is used for fraudulent or illegal activities;
- We are required to do so by law;
- We decide to discontinue the Service (with reasonable notice).
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will remain in effect.
If we terminate your account without cause, we will provide a pro-rated refund for any unused portion of your current billing period.
12. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 7 days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction in Ukraine.
